H2APEX Group SCA: Signing of an investor agreement on the acquisition of all shares in HH2E Werk Lubmin GmbH

Grevenmacher, 31 March 2025 / 1:00 p.m. CET - APEX Nova Holding GmbH, Laage (\"APEX\"), a subsidiary of H2APEX Group SCA (\"H2APEX\"), today concluded an investor agreement with HH2E AG, Berlin, and HH2E Werk Lubmin GmbH, Lubmin, (\"HH2E Lubmin\") on the acquisition of all shares in HH2E Lubmin. The agreement is inter alia subject to the condition precedent of the court order confirming the insolvency plan procedure of HH2E Lubmin becoming legally binding. Under the investor agreement, APEX undertakes, inter alia, to provide HH2E Lubmin with funds in the amount of EUR 7,000,000 for the purpose of financing the insolvency plan.

Upon completion of the transaction, APEX would acquire a plot of land on which HH2E Lubmin plans to build a 1,000-megawatt plant for the production of green hydrogen. The property already has a grid connection provided by the company 50Hertz as well as a water supply and offers in future the possibility of feeding hydrogen into the long-distance pipeline network. H2APEX, which already owns several plots of land in Lubmin, intends to complete the 1,000-megawatt plant and would thus become the largest hydrogen producer in Lubmin.
